Description of ZUBEDO
ZUBEDO is a next generation social-media site that provides a low cost distribution platform for media creators and consumers alike! Zubedo allows media creators and owners to distribute their media to a growing, global media consumer base. Zubedo has been designed for adults and younger persons, although individuals under the age of 16 should have parental or legal guardian consent to access and use the site.
For the avoidance of doubt, Zubedo adopts a pro-active and cautious approach in relation to younger persons accessing and utilizing the internet, subscribing to CEOP guidelines where-ever possible. In this sense, parents, legal guardians or others responsible for looking after a younger person/s have the right to monitor and/or approve all content posted on ZUBEDO by the younger person/s under their control including blogs, messages and digital media files, as well as other services that may be offered by ZUBEDO from time to time to younger persons.
Acceptance of ZUBEDO Terms of Use
By using ZUBEDO and/or its services, users agree to adhere to these terms of use. For reference, ZUBEDO reserves the right to modify these terms without notice. You should revisit this page occasionally to review the ZUBEDO terms and conditions of use. If you do not agree to these terms, you should refrain from using ZUBEDO and/or its services, which implies acceptance to these terms and conditions of use.

The content, arrangement and layout of zubedo.com and its associated sites, including, but not limited to, the trademarks, service marks, package designs, text, art work, graphics, images, buttons, screen shots, music, digitally downloadable files, other content, and the compilation of the foregoing are the property of ZUBEDO Ltd., unless otherwise noted, and are protected from copying, imitation, communication, or simulation under domestic and international laws and are not to be reproduced, communicated, displayed, distributed, or transmitted without the express written permission of ZUBEDO Ltd.
ZUBEDO may also contain references to other company brand and product names. These company brand and product names are used herein for identification purposes only and may be the trademarks of their respective owners. The images of people or places displayed, forms, structures, and graphics displayed or found within the zubedo.com site are either the property of ZUBEDO Ltd, or used with permission by the respective intellectual property right owners. ZUBEDO is not owned or associated with any of the owners of the other company brand and product names appearing on zubedo.com, and makes no representations about them, their owners, their products or services, excepting that it may partner with these third party entities in relation to the provision of their products or services for the benefit of ZUBEDO registered users.
Any unauthorized use of the materials, structure, sequence, arrangement, or design of zubedo.com or its associated sites, or trademarks, service marks, or trade dress found within these sites may violate civil or criminal laws, including, but not limited to, copyright laws, trademark laws, the laws of privacy and publicity, and communications regulations and statutes. By visiting the zubedo.com and its associated sites, you understand and acknowledge that you do not acquire or obtain by implication or otherwise, any license or right to use or make additional copies of any materials or information displayed on these sites. You agree not to display or use any Content or third party content located on the zubedo.com in any publications, in public performances, for any commercial purpose, in any other manner that is likely to cause confusion among consumers, that disparages or discredits ZUBEDO or its partners, or its licensors, that dilutes the strength of ZUBEDO or its licensor's property, or that otherwise infringes ZUBEDO or its licensor's intellectual property rights.
Cancelling Your ZUBEDO Account?
You understand and agree that you have no ownership rights in your zubedo.com account. ZUBEDO may cancel your account and delete all content associated with your account at any time, and without notice, if it deems that you have violated the terms of this agreement, or for any other reason. ZUBEDO assumes no liability for any information removed from our site for violating these terms.
You may also cancel your account at any time. This cancellation takes effect immediately. After a cancellation, ZUBEDO will remove all content associated with your account. ZUBEDO reserves the right to permanently restrict access to its products and services to members that have had their accounts cancelled.
Security of Username & Password
ZUBEDO accounts are protected by username and passwords. You agree to keep your password secure and not to disclose it to anyone. You also agree not to solicit or use another member's account and password. You are solely responsible for any and all use of your account.
ZUBEDO House Rules
ZUBEDO members (otherwise known as ZUBEDOERS) agree not to do any of the following:
- Solicit personal information from any other member (ZUBEDOER).
- Create, upload, transmit or make available in any way any material that may harm young persons in any way whatsoever.
- Create, upload, transmit or make available in any way any text, messages, images, or files that are derogatory, defamatory, abusive, threatening, vulgar, obscene, bigoted, hateful, racially offensive, insulting or that violates any person’s privacy (including but not limited to posting pictures, full names, email addresses, addresses, or phone numbers).
- Use ZUBEDO products and services to transmit junk mail, chain letters, unsolicited mass email, spam, or comment spam.
- Post information that they know or believe may be false, misleading, or that promotes illegal activity.
- Use ZUBEDO to promote any products or services (whether for profit or not for profit), or solicit others for commercial products or services of any kind excepting as otherwise allowed within the context of the ZUBEDO site.
- Impersonate another person or misrepresent themselves or their association with any person or group, especially with a view to securing the friendship or trust of a younger person.
- Create, upload, transmit or make available in any way any content that violates any third party’s legal rights, or any domestic or international law or regulation.
- Upload, transmit, or make available in any way any content that you do not have the right to transmit under any law, contract, or fiduciary agreement.
- Create, upload, transmit or make available in any way any files, computer codes, or software programs that contain software viruses or any other type of harmful material that is intended to disrupt, destroy, or limit the functionality of computer or network hardware or software products or services, especially that of zubedo.com and its associated sites.
- Interfere, disrupt, or create an undue burden on any network services provided by ZUBEDO or its associates.
ZUBEDO reserves the right to remove any material or cancel the account of any user that it determines has violated any of these terms of use. ZUBEDO also reserves the right to turn over to law enforcement personnel or agencies any content created, uploaded, transmitted, distributed or made available in any way on zubedo.com or its associated sites that may be in violation of these terms or any applicable law. Additionally, ZUBEDO reserves the right to prosecute fraudulent orders.

ZUBEDO does not claim ownership of content you create, upload, transmit or make available in any way whether posted on the zubedo.com site or any of its associated sites. By posting content on zubebo.com or its associated sites, you grant ZUBEDO and its associated partners a non-exclusive, fully-paid, royalty-free worldwide license to copy, use, translate, modify, adapt, store, and reproduce the content for the purposes of displaying, publishing, distributing, and transmitting the content on zubedo.com or its associated sites in accordance with the distribution model (free-to-view, pay-to-download or ad-revenue share basis) that you have selected for the relevant media file or media folder as the case may be. If you remove content from zubedo.com, this license will be terminated. Notwithstanding the foregoing, you understand and acknowledge that zubedo.com and its associated sites owns the servers on which your content resides, and you own no protectable rights in and to those servers, your user account, or any data that ZUBEDO may hold on its servers regarding you, your account or the media stored on its servers. Should your account be terminated, you will not be given back any content you uploaded to zubedo.com or its associated sites, although any such data will be deleted, and an email will be sent to you registered user email address confirming this.
You hereby agree that you will not post any content that infringes on any copyright, privacy or publicity right, patent, trademark, trade secret, or any other proprietary right of any party. You may not use, copy, transmit, publish, distribute, modify, broadcast, or otherwise sell any content published on zubedo.com or its associated sites that was not created by you, or to which the copyright owner has not consented to.
You acknowledge that ZUBEDO may not pre-screen content but that ZUBEDO and its associates have the right (but not the obligation) to remove or refuse to remove any content on zubedo.com or its associated sites. ZUBEDO also has the right to remove any content that violates these terms. You agree that you will be solely responsible for all risks associated with the use of any uploaded content, including the accuracy, completeness or usefulness of this content.
Liability

Indemnity
You agree to indemnify and hold ZUBEDO, its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any alleged claim or demand, including reasonable attorney fees, made by any third party due to or arising out of your Content, your use of the Service, your connection to the Service, your violation of the Terms of Use or your violation of any rights of another, whether you are a registered user or not. The user is solely responsible for his or her actions when using the Service, including, but not limited to, costs incurred for Internet access.

ZUBEDO’s Member Benefits Scheme
When you register to become a member of ZUBEDO you will be allocated, in accordance with the then prevailing or published Member Benefits Scheme Rules, a number of reward points, hereinafter known and referred to as Zubiges. It is proposed that each of the allocated Zubiges will be converted into Zubedo “non-voting” ordinary shares or such other shares as are deemed appropriate by ZUBEDO and its financial advisors or representatives. The precise terms of any such conversion shall be outlined by Zubedo Limited at the relevant time, however, it should be noted that there may be a nominal or par value to pay in respect of any such shares allocated to the ZUBEDO members. For the avoidance of doubt, ZUBEDO reserves the right to vary the terms of its Member Benefits Scheme, the number of Zubiges allocated to users upon registration, or as a result of the recommend a friend initiative, the various ZUBEDO competitions, or from working with the ZUBEDO Country Teams. These and any other decisions or changes relating to ZUBEDO’s Member Benefits Scheme are at ZUBEDO’s absolute discretion and shall be final, and without challenge or recourse to any court of competent jurisdiction, whether in the United Kingdom or overseas.
Where a registered user invites their friends, family or business associates (hereinafter referred to as “wider contact base”) to join ZUBEDO through the recommend a friend feature, and where those invited individuals subsequently register with ZUBEDO, then the inviting registered user shall receive an additional allocation of Zubiges in accordance with the rules then prevailing in respect of the ZUBEDO Member Benefits Scheme. For ease of use, registered users are able to monitor their allocation of Zubiges by visiting their profile page.
For the avoidance of doubt, registered users of ZUBEDO hereby agree to the following terms in relation to ZUBEDO Member Benefits Scheme:
- Not to register with ZUBEDO using different email addresses or aliases in an attempt to obtain more Zubiges;
- Not to register the names of family members or friends knowing that such individuals would object to being invited/or registered to/with ZUBEDO.
- Not to register the names of any fictitious individuals, deceased individuals, family pets, other animals, or any inanimate object;
If a registered user breaches any of the general terms relating to the use of ZUBEDO or its associated sites, or these specific terms relating to the ZUBEDO Member Benefits Scheme, then ZUBEDO reserves the right to cancel their user account, and hereby confirms that it will liaise with relevant enforcement agencies, and may take civil or legal proceedings as a result of such a breach.
